1. Acceptance of these terms
By accessing or using PayTier, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the service.
2. The service
PayTier provides AI-powered invoicing and non-custodial payment facilitation. We help you create and send invoices and generate payment links. Funds are processed by third-party payment gateways directly to the merchant's own connected account. PayTier never holds or controls your funds.
3. Eligibility and accounts
You must provide accurate and complete information when creating your account, and keep it up to date. You are responsible for keeping your login credentials secure and for all activity that occurs under your account.
4. Merchant responsibilities
As a merchant using PayTier, you agree to:
- issue only lawful invoices and ensure their accuracy;
- handle your own tax obligations; and
- maintain your own relationship with your clients and a lawful basis for contacting them, including over WhatsApp.
5. Fees
We charge subscription and/or usage-based fees as described at sign-up. Third-party gateway fees also apply and are set by the gateways, not by PayTier.
6. Third-party gateways
Payments processed through PayTier are subject to the terms of the relevant gateway, including Stripe, Paystack, and PayTabs. You are responsible for complying with the terms of any gateway you use.
7. WhatsApp and messaging
When you use WhatsApp through PayTier, you must comply with the WhatsApp Business and Meta platform policies. You are responsible for obtaining any necessary consent from your clients before messaging them, and for honoring opt-out requests.
8. Acceptable use
You agree not to use PayTier to:
- commit fraud or send spam;
- sell illegal goods or services;
- infringe intellectual property rights; or
- abuse, disrupt, or attempt to interfere with the operation of the service.
9. Intellectual property
PayTier owns the platform, including its software, design, and branding. You retain ownership of the content and data you create or upload through the service.
10. Disclaimers
The service is provided "as is" and "as available", without warranties of any kind. We do not warrant that the service will be uninterrupted, secure, or error-free.
11. Limitation of liability
To the maximum extent permitted by law, PayTier is not liable for any indirect, incidental, special, or consequential damages, nor for the acts or omissions of payment gateways or other third parties.
12. Indemnification
You agree to indemnify and hold PayTier harmless from any claims, losses, or liabilities arising out of your unlawful use of the service or your breach of these terms.
13. Termination
Either party may terminate this agreement at any time. On termination, your right to use the service ends, and we may close or restrict your account. Provisions that by their nature should survive termination will continue to apply.
14. Governing law
These terms are governed by the laws of England & Wales, and any disputes will be subject to the courts of that jurisdiction.
15. Changes and contact
